ADVISORY SERVICES

Ammonite Capital Partners, L.P. (“ACP” or the “Firm”) provides strategic financial advisory services to emerging and established oil and gas exploration companies. The Firm specializes in the private financing of exploration and exploitation plays when pursued on a multi-prospect “portfolio” basis.  ACP is unique as a financial adviser in that it has senior in-house capability through its affiliate Ammonite Resources Company, to evaluate worldwide petroleum investment opportunities at a comprehensive geological, geophysical, engineering, economic, and business level. The Firm has excellent professional and management contacts within the petroleum industry and with major institutional investors and international lenders.

  ACP provides the following services to companies primarily in the start-up to US $100 MM net asset value range:

·         Preparation of business plans;

·         Preparation of corporate financial models;

·         Determination of relative going concern and fair market valuations;

·         Capital structure;

·         Strategic planning for capital acquisition;

·         Transaction structuring to maximize shareholder value;

·         Sourcing of private equity and debt;

·         Merger, acquisition and divesture advisory work;

·         Fairness Opinions.

ACP works with established companies seeking $10-100 million additional capital to execute a long-range business plan, and with early stage companies seeking an initial $2.5-10 million equity capital to put their first deals together.  An engagement typically includes advising the client company in: a) its strategic planning; b) writing a detailed business plan with realistic three-year cash flow projections; c) determining the relative “going concern” value of the company and its assets; d) maximizing shareholder value by structuring the appropriate capital transaction; e) assisting the company in preparing its presentation to potential investors; f) getting the client ready for the investors’ due diligence process; g) introducing the company to appropriate institutional, corporate and private investors; and h), advising the client in closing the financing.

           ACP works on a wide range of petroleum asset classes; however, our specialty is in exploration because we understand the exploration process, and believe the potential economic return for a well-conceived, risk balanced and high-tech supported exploration program, far exceeds reserve acquisition and developmental type ventures. Our approach is strictly on a company and portfolio basis. We do not secure working interest participation in individual wildcat prospects.
